Ensuring Transparency, Trust, and Seamless Experiences with Chefees

1. INTRODUCTION

[Meals In Minutes Ltd] (Company No: [14702808]) (“Chefees”, “we”, “us” or “our”), is the owner and operator of Chefees, with the domain name of https://chefees.co.uk (“Platform”). This Term & Conditions (“Terms”) govern your access to and/or use of any information, functions, or services provided on our Platform

Before assessing to or using our Platform, you shall carefully read and accept this Term and consent to the processing of your personal data as described in the Privacy Policy (“Privacy Policy”). By accessing to or using our Platform, you agree to comply with this Term and Privacy Policy, as well as any additional terms and conditions that may be posted on our Platform from time to time.

Chefees reserves the right to update and amend this Term at any time, at our sole discretion. The revised version will become effective immediately upon being displayed on the Platform. By continuing to use the Platform, you will be deemed to have accepted any and all amendments to this Term and will be bound by the revised Terms.

2. DEFINITION

In this Term, unless the context otherwise requires, the following words and expressions shall have the following meanings:

Account” means a user account that is created and registered by a Member on the Platform, “Accounts” shall be construed accordingly;

Applicable Laws” means with respect to any person, any and all applicable constitutions, treaties, statutes, laws, by-laws, regulations, ordinances, codes, rules, rulings, judgments, rules of common law, orders, decrees, awards, injunctions or any form of decisions, determinations or requirements of or made or issued by, governmental, statutory, regulatory, administrative, supervisory or judicial authorities or bodies (including without limitation, any relevant stock exchange or securities council) or any court, arbitrator or tribunal with competent jurisdiction and to which such person is subject;

Business Day” means a day on which banks are open for business in the United Kingdom;

Buyer” means a person who purchases any Product and/or Service on the Platform, “Buyers” shall be construed accordingly;

Confidential Information” means all financial, business, technical, or other data, and all other confidential information (whether written, oral, or in electronic form, or stored on magnetic or other media) belonging to Chefees, which is disclosed to a receiving party as a result of any discussions or dealings under this Term;

Force Majeure” means any cause beyond Chefees’ reasonable control affecting the performance by the affected party of its obligations hereunder including, but not limited to, acts of God, riots or civil disorder, war or military operations, national or local emergency, acts or omissions of government, industrial disputes of any kind (not involving the affected party's own employees), fire, flood, lightning, explosion, subsidence, inclement weather, epidemic, pandemic, outbreak of disease and acts or omissions of persons or bodies beyond the reasonable control of Chefees;

Intellectual Property Rights” means all copyright and intellectual property rights, howsoever arising and in whatever media, whether or not registered, including (without limitation) Confidential Information, trade secrets, goodwill and reputation, patents, trademarks/service marks, trade names, registered designs, and any applications for the protection or registration of these rights, and all renewals and extensions thereof throughout the world;

Member” means a person who has successfully registered an Account on the Platform, and “Members” shall be construed accordingly;

Order” means the order of the Products placed by the Buyer or Member via the Platform;

Platform” means the online store (https://chefees.co.uk) owned and operated by Chefees;

Products” means products listed for sale on the Platform;

Services” means the services offered by Chefees through the Platform to Users for viewing and/or purchasing products, which may also include services provided by third-party service providers, such as payment gateway services, logistics management services, and any other services related to the operation of the Platform; and

Users”, “you”, “your” means any person, including our Members and Buyers accessing to or using the Platform, and “User” shall be construed accordingly.

3. USE OF THE PLATFORM

You may only register on, access, or use the Platform if you are under the age of 18 or the legal age required to provide consent under the Applicable Laws in your country. If you are a minor, you must obtain permission from your parent or legal guardian to open an account on the Platform. If you do not have consent from your parent(s) or legal guardian(s), you must immediately cease using or accessing the Platform.

The Products displayed on the Platform do not constitute an offer for sale but rather an invitation to treat. A contract for the purchase of any Product will not be formed until the Product is shipped to your specified delivery address. To submit an Order, you must follow the online shopping process on the Platform. After completing the order process, you will receive an order confirmation email, which will serve as acknowledgment of your Order. An Order is only considered accepted by Chefees upon shipment of the Products to the provided delivery address. A contract will be formed only for those Products that are shipped to you.

All Product descriptions, information, and materials posted on the Platform are provided “as is” without any warranties, express, implied, or otherwise. Please be aware that the colour and appearance of the Product image displayed on yourmonitor or other devices may differ from the actual Product due to variations in display settings. You acknowledge thatyou are purchasing the Products at your own risk, and Chefees is not responsible for any physical or health-related damage resulting from the use of the Products. Additionally, you understand that the Products are standard and not customized to any specific requirements you may have.

The Platform may include third-party services and content (including advertisements) over which Chefees has no control. You acknowledge that separate terms of use and privacy policies may apply to your use of such third-party services and content. Unless explicitly stated otherwise, Chefees does not endorse or control these third-party services or content and will not be held responsible or liable for the actions, content, or services provided by third parties.

You acknowledge and agree that your use of the Platform is at your own risk. Chefees does not accept any responsibility or liability for any losses you may incur as a result of such use. You irrevocably agree to hold Chefees harmless and indemnify us from any claims, damages, or losses (including legal costs) arising from or in connection with your use of the Platform.

Subject to your full compliance with this Term, Chefees grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to:

  • Access and use the Platform solely on your personal device, and only in connection with your use of the Platform;and
  • Access and use any content, information, and related materials made available through the Platform, solely for your personal, non-commercial use, and in accordance with any permissions granted by Chefees and/or its licensors. All rights not expressly granted in this Term are reserved by Chefees and/or our affiliates and licensors.

4. ACCOUNT

Account Registration

  • To access and use most aspects of the Services on the Platform, you need to register an account (“Account”) with and become a member on the Platform. During the registration process, you are required to provide Chefees with certain personal information, including but not limited to your name, contact details and email address, as well as any other information which may be necessary.
  • Upon successful registration, you are required to create a username and a password. The password must remain confidential and will only be requested during the login process. If you become aware of any unauthorised access to or use of your password or account, or if you identify any security breach, you shall immediately notify us, so that we can take the necessary steps, including the termination of your Account if required.
  • By registering an Account and submitting your personal information, you acknowledge and accept the terms of our Privacy Policy. You expressly consent to our processing of your personal data for purposes outlined in the Privacy Policy.
  • During registration and while managing your Account, you will have the option to subscribe to or opt out of receiving informational emails, such as newsletters, promotional offers, and service updates. You may unsubscribe at any time via the Account settings.
  • You agree to ensure that the information associated with your Account remains accurate, complete, and up to date. Failure to do so may result in restricted access to the Services or the termination of your Account. You are responsible for all activity under your Account and must take necessary precautions to maintain its security and confidentiality.
  • Misuse of the Platform, including the creation of multiple user accounts, is strictly prohibited.
  • Chefees reserves the right to suspend or terminate your Account and restrict access to the Services if any disruptive, fraudulent, or unauthorized activity is detected. This includes, but is not limited to, the wrongful or fraudulent registration of an Account using another individual’s email address or mobile number without their consent.

Guest Access

  • You may access the Platform as a guest without creating an Account, but your access as a guest may be limited, insofar as you may browse the Platform, explore the Services, and place an Order, but certain features and functionalities may only be available to registered member.
  • Despite your limited access, you are required to comply with all applicable terms and conditions set forth herein. Any violation of this Term while browsing or using the Services, even as a guest, may result in liability equivalent to that of a registered member.

5. ORDERING

Once you have placed your Order, Chefees will send you an order confirmation via e-mail acknowledging receipt of your Order. This confirmation does not constitute acceptance of your Order. An Order is only considered accepted when it has been shipped to the delivery address provided by you.

Orders may be placed as a guest or as a registered member through an Account on the Platform. You must provide accurate and truthful information when placing an Order and update your details as necessary via the relevant sections of the Platform.

Once an Order is placed, it is automatically processed for delivery. As such, cancellations or modifications cannot be accommodated after submission.

We reserve the right to refuse or cancel any Order at any time before acceptance and the right to withdraw any Products from the Platform at any time and to remove or edit any Platform content at our sole discretion. While we make every effort to process all Orders, exceptional circumstances may arise in which we need to refuse or cancel an Order after sending an order confirmation. If we cancel your Order and you have already made payment, you will be notified via email, and a full refund will be processed in accordance with Clause 8 . We will not be liable to you or any third party for withdrawing any Products, whether sold or not, or for refusing to process or accept an Order.

We strive to keep our Product listings updated; however, all Products are subject to availability. If a Product is out of stock, we will notify you promptly and either offer an alternative product or process a refund in accordance with Clause 8 below.

We maintain strict quality control over our Products. Upon delivery, you are responsible for inspecting the condition of your Order. If any Product is found to be damaged or unsatisfactory, please refer to Clause 8.

Allergen information is provided for each Product on our Platform. You are responsible for reviewing this information before placing an Order. If you have specific dietary concerns or allergies, please exercise caution and refer to the allergen details provided. By purchasing from us, you acknowledge and accept the potential risks and assume full responsibility for any allergic reactions or health issues that may arise from consuming our Products. Chefees shall not be held liable for any allergic reactions, medical conditions, or adverse health effects resulting from the consumption or handling of our Products.

6. PRICES AND PAYMENT

All prices provided on the Platform are in British Pounds (GBP) and are inclusive of applicable taxes where required by the law of the United Kingdom, unless otherwise stated.

Payment for Products purchased on the Platform can be made via the following methods: -

  • Credit card;
  • Debit card;
  • Other digital payment methods, including e-wallets, as made available on the Platform

You are responsible for verifying product prices before completing your purchase. Once an order is placed and payment is processed, cancellations or refunds due to price dissatisfaction will not be accepted.

Product prices may change without prior notice. While we strive to ensure all product details, descriptions, and prices on our Platform are accurate, errors may occur. If a pricing error is identified after you have placed an order, we reserve the right to cancel or amend the order. In such cases, we will promptly notify you and provide the option to confirm your order at the corrected price or cancel it. If we are unable to contact you, your Order will be treated as cancelled.

By making a payment on the Platform, you confirm that you are the authorised account holder or have obtained permission from the account holder to complete the transaction. All payments are subject to verification and approval by the relevant payment service provider or financial institution. We are not responsible if your payment is declined or if there are delays due to processing issues beyond our control.

Upon placing an order, our payment gateway will conduct necessary verification checks to ensure sufficient funds or credit availability for the transaction. Orders will not be confirmed until the payment is successfully authorised. If authorisation is not received, we shall not be liable for any delay or non-delivery.

Delivery cost of £5.99 is applicable for all orders.

Any applicable customs duties and/or taxes related to your order shall be borne solely by you. You agree to settle such costs directly with the relevant customs authority.

Promotional discounts will be applied automatically when you enter a valid promo code and add the required items or quantities to your checkout basket. Online vouchers may be provided via email upon subscription or registration on our Platform. Most vouchers cannot be used in conjunction with other promotions, product discounts, or offers. If a minimum spend requirement applies for a voucher, this requirement must be met in addition to any ongoing discounts. The same applies to the free delivery threshold. If a promo code or voucher is not correctly entered during checkout, and the transaction is completed, we are under no obligation to apply the discount retrospectively.

7. DELIVERY

Chefees partners with trusted logistics companies DHL and DPD to ensure timely and secure delivery of your Products

We deliver to the entire United Kingdom, with the exception of certain areas. These include all postcodes beginning with BT (Northern Ireland), IM (Isle of Man), JE (Jersey), and GY (Guernsey). Additionally, we do not deliver to certain remote or outlying regions of Scotland where delivery times fall outside our standard schedule. These areas include KA27 and KA28 (Ayrshire), AB31 to AB56 (Grampian), IV1 to IV63 and KW1 to KW14 (Inverness and Highlands), KW15 to KW17 (Orkney), PH15 to PH50 (Perthshire), PH19 to PH41 and PH49 to PH50 (Highlands), PA20 to PA78, HS1 to HS9, and PH42 to PH44 (Argyll and Scottish Islands), ZE1 to ZE3 (Shetland), and FK16 to FK21 (Stirlingshire). For larger Orders or delivery outside these areas, please reach out to us in accordance with Clause 20.7 to arrange alternate delivery options.

We are committed to delivering the Products to the specified address in your Order. Once dispatched, you will receive an email with tracking information for easy monitoring of your delivery.

While we strive to deliver the Products promptly, Chefees cannot be held responsible for any delays caused by unforeseen circumstances, such as logistics issues or weather conditions.

Upon delivery, you may be asked to sign for receipt. If you notice any damage, defects, or discrepancies with the Products, please reach out to us in accordance with Clause 20.7.

To ensure your Products arrive fresh and at the right temperature, they will be carefully packaged in Chefees' standard insulated packaging. Delivery will be handled with the utmost care by our trusted logistics companies.

Risk for the Products transfers to you upon delivery. After this point, Chefees is not liable for any loss or damage to the Products. Any failure on your part to accept delivery may affect your future ability to shop with us.

If you are not available to take delivery or collection, the logistics provider may leave a note with instructions for the next steps. This may include a re-delivery attempt on the following day or the option to collect your Productsfrom their nearest hub.

In the event that you refuse delivery or do not collect the Products after a second attempt, Chefees may: -

  • Charge you any reasonable costs incurred for the delivery attempt(s); or
  • Cancel the order, notifying you that the Products are no longer available for delivery. In such cases, we will refund any amounts paid, minus reasonable charges related to delivery, return, and storage

Initially, we will dispatch orders twice a week—on Mondays and Thursdays. Orders placed before 5pm will be processed for the next available shipping day. Please note that all delivery times are estimates and commence from the date of dispatch. Chefees cannot be held responsible for delays caused by customs clearance or our delivery partners.

8. CANCELLATIONS AND REFUNDS

Due to the perishable nature of our Products, all Orders are considered final sale and are non-returnable. Cancellations and refunds are generally not permitted. However, Chefees may consider exceptions on a case-by-case basis, and each request will be reviewed individually.

If you wish to request a cancellation, you must notify us within fourty-eight (48) hours of delivery. Refunds are only permitted in the following circumstances: -

  • The Product delivered is not the item you ordered, or there are missing items; or
  • The Product is found to be damaged at the time of delivery.

To apply for a cancellation, please submit the following within twenty-four (48) hours of receiving your order for our review:

  • Order number;
  • Contact information;
  • Account details (if any); and
  • A description and photographic evidence of the incorrect or damaged Product for refunds

We reserve the right to cancel any order if there is an issue with product availability, payment processing, or delivery logistics. In the event of such a cancellation, we will notify you promptly and issue a full refund.

Refunds, if applicable, will be processed within 14 Business Days from the date the refund is approved. Please note that the actual time for the refund to appear in your account may depend on your payment provider.

9. COMPLAINTS

If you have any concerns and/or complaints regarding our Platform, Product, Service or your Order, kindly contact our Customer Service Team in accordance with Clause 20.7. We reserve the right at its discretion to carry any investigation in accordance with our internal policies and procedures.

To facilitate a prompt resolution, please provide the following details when submitting a complaint: -

  • Order number;
  • Contact information;
  • Account details (if any); and

  • A detailed description of the complaint, including any supporting evidence

We aim to acknowledge receipt of complaints within seven (7) Business Days and will strive to provide a resolution within fourteen (14) Business Days. If further investigation is required, we will keep you informed of the progress and expected resolution timeline.

Each complaint will be assessed fairly and on a case-by-case basis. If a resolution is available, we will offer an appropriate resolution, in accordance with our policies

If you are not satisfied with our proposed resolution, you may escalate the complaint by providing additional details for further review. While we will make reasonable efforts to resolve the matter, our decision following a thorough review will be final.

We reserve the right to reject complaints that are fraudulent, unreasonable, or not made in good faith.

10. PROHIBITED ACTIVITIES

By accessing to the Platform, you agree to refrain from accessing or using the Platform for the following activities (collectively referred to as “Prohibited Activities”): -

  • breach any of the Terms, policies or any other agreements entered with us;
  • use the Platform for any illegal or unauthorized purpose;
  • violate any law, statute and/or regulation of any applicable jurisdiction;
  • conduct fraudulent, criminal or unlawful acts on the Platform;
  • share or disclose with anyone any information or documents that are of confidential nature obtained through the Platform;
  • impersonate any other person or body or misrepresent a relationship with any person or body;
  • contact any Issuers or Investors or other parties involved in the transactions posted on the Platform directly or to attempt to enter into any such transaction with such persons or entities outside of the Platform;
  • infringe or breach any patent, trademark, copyright, trade secret or other intellectual or proprietary right of the Platform;
  • upload, post, publish email, transmit or otherwise make available through the Platform any false, inaccurate, inappropriate, misleading, defamatory, discriminatory, infringing, obscene, offensive, unlawful, threatening or harassing contents, comments or materials;
  • upload, post, publish email, transmit or otherwise make available through the Platform any materials that promote pyramid schemes, chain letters or disruptive commercial messages or advertisements, or anything else prohibited by law or the Terms;
  • upload, post, publish email, transmit or otherwise make available through the Platform any content that infringes any patent, trademark, copyright, trade secret or other intellectual or proprietary right of any person, unless the User is the owner of such rights or have the permission of the owner to post such content;
  • make available with any third party of the content that falsely expresses or implies that such content is related to or sponsored or endorsed by Chefees, any of its affiliates or any third parties;
  • make available with any third party for any information obtained from the Platform;
  • use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform;
  • attempt to gain unauthorized access to any portion or feature of the Platform;
  • transmit any viruses, worms, defects, trojan horses, malware, worms or any items of a contaminating or destructive nature to or through the Platform.

We reserve the right to terminate or suspend your account and remove any content or information that you have posted on the Platform and/or prohibit you from using or accessing the Platform if we have reasonable grounds to believe that you have committed any breach or are suspected to commit a breach of any of the above Prohibited Activities.

11. PLATFORM CONTENT

You may be allowed to submit, upload, and post content, including but not limited to text, images, video, audio, and other materials or information to the Platform for the purposes of the Services available on the Platform (collectively referred to as “Platform Content”). For the avoidance of doubt, we reserve the right to remove any Platform Content made by you on the Platform at our sole and absolute discretion without the need to afford you any reason whatsoever.

You are solely responsible for all Platform Content that you have submitted, uploaded, or otherwise posted on the Platform, included with respect to harm to third parties caused thereby.

While we do not claim ownership to any Platform Content that you have submitted or authorised us for use on the Platform, you do hereby grant us the perpetual, worldwide, royalty-free, and sublicensable right to use and publish the Platform Content in connection with our provision and promotion of the services and your use of the Platform.

You may remove the Platform Content from the Platform at any time. In the event you choose to remove the Platform Content, the right or licence granted above shall continue to exist and shall not expire.

Notwithstanding of the generality of the provisions contained herein, we do not represent or warrant that any Platform Content submitted by the User is accurate.

12. CONFIDENTIALITY

By accessing to the Platform, you hereby agree and undertake to preserve and maintain in confidence all Confidential Information received from the Platform.

The foregoing obligations shall not apply to any Confidential Information which:

  • is or becomes generally available to the public through no action by the receiving party or its representatives in violation of the Terms;
  • was known to the receiving party or becomes available to the receiving party, on a non-confidential basis, from a source other than the disclosing party which is not known to the receiving party to be prohibited from disclosing such information by a contractual or legal obligation of confidentiality;
  • is disclosed with the disclosing party’s prior written consent;
  • is independently developed by personnel having no access to the Confidential Information or otherwise independently obtained by the receiving party; and
  • is required to be disclosed by law, court order, government directive or guidelines or where otherwise so required by any relevant authorities provided that the receiving party promptly notifies the disclosing party in writing of such demand for disclosure so that the disclosing party may seek to make such disclosure subject to a protective order or other appropriate remedy to preserve the confidentiality of the Confidential Information.

The rights and obligations under this clause shall survive the expiration or termination of the Terms.

13. INDEMNITY

You agree to defend, indemnify (and keep indemnified) and hold Chefees and our affiliates, and their agents, directors, officers, employees, successors and/or assignees, harmless from and against any claims, liabilities, damages, costs, judgments, losses or expenses (including reasonable legal fees on a full indemnity basis), arising out of or in connection with:

  • Your violation or breach of any provisions of this Term or any Applicable Laws, including any local laws or ordinances, whether or not referenced herein; and/or
  • Our enforcement or attempt to enforce your obligations under this Term, except where such claims, liabilities, damages, costs, judgments, losses, or expenses arise solely as a result of our negligence.

Notwithstanding anything contained herein, it is agreed that neither party shall be liable to the other party for any loss of profit, goodwill, business opportunity, and anticipated savings or for any indirect, special or consequential loss or damage suffered or flowing from the Terms, even if reasonably contemplated or if such other party has been advised of the possibility of such loss or damage.

The rights and obligations under this clause shall survive the expiration or termination of this Term.

14. LIMITATION OF LIABILITY

In no event shall Chefees, our affiliates, directors, trustees, officers, employees, agent or representative be liable for any claim, incidental, indirect, punitive, consequential or similar damages, liabilities or whatsoever, including but not limited to damages for loss of data or exposure of data, information, revenue, goodwill, opportunity, profits or other business or financial benefit, to Users or any third party claim under Users, whether based on contract, tort, breach of statutory duty or otherwise, arising out of or in connection with us or the Terms.

In derogation to all other terms and conditions of the Terms, in the event Chefees shall be adjudicated to be liable to Users, the aggregate liability of Chefees to Users arising out of or in connection with this Term for any matter whatsoever is limited to such amounts of fee that Chefees has received from Users.

15. FORCE MAJEURE

We shall not be liable to you or be deemed to be in breach of any provisions in the Terms or any agreements entered with you by reason of any delay in performing, or any failure to perform our obligations thereunder, if the delay or failure was due to a Force Majeure.

In the event of a Force Majeure, our affected obligations hereunder shall be postponed for such period as its performance is suspended or delayed and we shall be granted an extension of time for performance equal to the period of suspension or delay.

16. INTELLECTUAL PROPERTY RIGHTS

You acknowledge and agree that the Platform and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by us, its licensors or other providers of such material and are protected by and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded or distributed in any way, in whole or in part, without the express prior written permission of us, unless and except as is expressly provided in the Terms. Any unauthorized use of the material is prohibited.

17. THIRD PARTY LINKS

The Platform may contain links to third-party Platforms and services for the convenience of the Users. We are not responsible for, nor do we control, the content, products, or services provided by any linked third party Platforms. We do not endorse or guarantee the products, information, services, or recommendations provided by linked Platforms and are not liable for any failure of products or services advertised on those Platforms.

By visiting these third party Platforms, Users are subject to the terms posted by those third party Platforms, including any privacy policy. Users’ access, use and reliance upon such content, products or services are at their own risk.

18. UPDATES TO OUR PLATFORM

We may from time to time provide enhancements or improvements to the features/ functionality of the Platform, which may include patches, bug fixes, updates, upgrades and other modifications (“Updates”). Updates may modify or delete certain features and/or functionalities of the Platform.

You agree that we have no obligation to (a) provide any Updates, or (b) continue to provide or enable any particular features and/or functionalities of the Platform to you. You further agree that all Updates will be deemed to constitute an integral part of the Platform, and subject to the Terms.

19. DISCLAIMER

Chefees makes no warranties, representations, or guarantees, whether express or implied, regarding the Platform, and expressly disclaims any responsibility or liability for the following: -

  • No warranty is made that the Platform will be uninterrupted, error-free, or available at all times, nor that they will be free from defects or inaccuracies.
  • We do not guarantee that the Platform will be compatible with all hardware, software, or devices used by you.
  • We shall not be liable for any viruses, unsolicited emails, “trojan horses”, or any computer programming routines that may intentionally or unintentionally damage, interfere with, or compromise the security of any system, data, or personal information as a result of your access to or use of the Platform and.
  • We disclaim any liability for the actions, conduct, or omissions of third parties, including the operation and performance of third-party services integrated into the Platform.
  • We are not liable for any reliance placed on materials made available through the Platform by any guest, registered member, professional, or client. Chefees makes no representation regarding the accuracy or validity of such materials.
  • We make no warranties regarding the reliability, timeliness, quality, suitability, or availability of the Services, and we do not guarantee that the Platform and Services will meet your expectations or be uninterrupted or error-free.
  • Chefees does not assume any responsibility or liability for the quality, suitability, safety, or performance of any third-party services, including payment processing or logistics services, offered through or in connection with the Platform.
  • To the fullest extent permitted by law, Chefees disclaims all other warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Chefees be liable for any indirect, incidental, special, or consequential damages, or loss of profit, revenue, data, or business opportunities, arising out of or in connection with your use of the Platform.

20. GENERAL PROVISIONS

Entire Agreement. The Terms constitutes the entire agreement between the parties concerning its subject matter.

Governing Law and Jurisdiction. The Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of, relating to, or in connection with the Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

Severability. If at any time any provision of the Terms is or becomes illegal, invalid or unenforceable in any respect, the legality, validity and enforceability of the remaining provisions of the Terms shall not be affected or impaired thereby.

No Waiver. A delay or failure of any party to exercise any right or remedy pursuant to the Terms will not operate as a waiver or the right or remedy and a waiver of any particular breach will not be a waiver of any other breach. All rights and remedies under the Terms are cumulative and the exercise of one right or remedy will not limit the exercise of any other right or remedy.

Notice. Chefees may give notice, by means of general notice, on the Services and/or the Platform and/or the Terms herein contained, electronic mail to your email address as registered in the Account or by written communication sent to your address as contained in the registered Account. Unless specified otherwise in this Term or by Chefees, any notice, request, demand or other communication to Chefees under the Terms shall be given or made in writing and delivered personally or sent by prepaid registered post to the address set out in the Contact clause.

Dispute Resolution. The User shall make reasonable efforts to resolve any disputes and/or complaints arising from the Platform or any matter related to the Terms through amicable negotiations. If the parties are unable to reach a mutually acceptable resolution within sixty (60) days, the dispute shall be referred to the competent courts for resolution.
